Terms and Conditions

1. Scope

1.1 These Terms and Conditions (“Terms”) apply to all contracts between Hammerschmied Sp. z o.o., brand AutomateThis! (“we” or “us”), and our clients (“Client”).

1.2 Our services are offered exclusively to businesses, not to consumers.

1.3 Deviating terms of the Client apply only if we expressly agree to them in text form.

2. Subject of the contract

2.1 Services

We design, connect and run the systems behind e-commerce companies, in particular online shop, inventory management/ERP, warehouse and fulfillment, customer service, returns, CRM, billing and reporting. Our services include in particular:

  • analysis and design of the Client’s system and process landscape
  • setup, configuration and integration of software systems and interfaces, including automations and AI-supported workflows
  • ongoing operation, monitoring, support and maintenance of the systems and integrations set up
  • further development and optimisation as part of an ongoing partnership (retainer)

2.2 Scope of services

The exact scope of services is set out in the respective offer or service description and the order confirmation. We owe the agreed activities, not a specific economic result, unless a specific work result has been expressly agreed.

2.3 Collaboration via Sally

Ongoing collaboration (tasks, communication, documentation, approvals, file exchange) takes place on the Sally platform. Sally is operated by Kraft Fabrik Media Ltd, Moutallion 9, 8577 Tala, Cyprus. The Client receives the necessary access.

2.4 Hosting via hartmut.io

Hosting for websites and online shops can be obtained via hartmut.io. hartmut.io is operated by Kraft Fabrik Media Ltd. For this, the Client concludes a separate contract on its terms.

2.5 Third-party services

Third-party software and services used by the Client (e.g. shop system, ERP, shipping or payment providers) are not part of our services.

3. Conclusion of contract

The contract is concluded when the Client accepts our offer or when we confirm the order. Text form (e.g. email) is sufficient.

4. Prices and payment

4.1 Prices

The prices agreed in the offer apply. All prices are in euros plus statutory VAT. For clients established in another EU member state, the reverse-charge procedure applies where its conditions are met.

4.2 Payment terms

  • Invoices are due within 14 days of the invoice date without deduction.
  • Payment is made by bank transfer to the account stated on the invoice.
  • The ongoing partnership is invoiced monthly in advance, or for twelve months in advance with annual payment.
  • In the event of late payment, we may suspend our services after prior notice.

5. Term and termination

5.1 Monthly partnership

The monthly partnership runs for an indefinite period without a minimum term. Either party may terminate it at any time with effect from the end of the current calendar month.

5.2 Annual partnership

The annual partnership runs for twelve months from its start and then ends without automatic renewal. The parties agree any continuation separately.

5.3 Termination for cause and form

The right of either party to terminate for good cause remains unaffected. Notice of termination must be given in text form.

5.4 Handover

After the contract ends, we hand over to the Client, on request, the access set up for the Client and the existing documentation.

6. Client obligations

The Client

  • provides the necessary access, information and a contact person in good time,
  • gives approvals promptly, preferably in Sally,
  • ensures the necessary licences and contracts with third-party providers,
  • keeps access data secure and complies with applicable law, in particular data protection law.

7. Response times, warranty and liability

7.1 Response times

We respond to requests and incident reports within one working day (Monday to Friday), unless otherwise agreed in the offer.

7.2 Warranty

We perform our services with the care of a diligent professional. We remedy defects in our work results within a reasonable period. We are not responsible for third-party systems (e.g. shop, ERP, hosting).

7.3 Limitation of liability

We are liable without limitation for intent and gross negligence and for injury to life, body or health. In cases of slight negligence, we are liable only for breach of essential contractual obligations, limited to the foreseeable damage typical for the contract. Otherwise, liability is excluded to the extent permitted by law.

8. Data protection

We process personal data in accordance with our Privacy Policy. Where we process personal data on behalf of the Client, the parties conclude a data processing agreement under Art. 28 GDPR.

9. Changes to these Terms

We notify the Client of changes to these Terms in text form at least four weeks before they take effect. If the Client does not object within this period, the changes are deemed accepted; we point this out in the notification. In the event of an objection, either party may terminate the contract with effect from the date the change takes effect.

10. Final provisions

10.1 Governing law

Polish law applies, excluding the UN Convention on Contracts for the International Sale of Goods.

10.2 Place of jurisdiction

The exclusive place of jurisdiction is Gdańsk, Poland.

10.3 Language

These Terms are available in German and English. In case of discrepancies, the German version prevails.

10.4 Severability

Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
